Terms of service
The short version. EasyKwote is a monthly or yearly subscription you can cancel at any time. Your business information stays yours and you can export it. Payments from your clients go straight to you, never through us. You are responsible for what your documents say and for your own tax compliance; we give you the tools to get it right.
1. About these terms
These terms are an agreement between you and EasyKwote (Pty) Ltd ("EasyKwote", "we", "us") for the use of the EasyKwote website and app (the "service"). By creating an account or using the service, you agree to them. If you use EasyKwote for a business, you confirm that you may accept these terms for that business, and "you" includes the business.
Our privacy policy explains how we handle personal information and forms part of these terms.
2. Early access
EasyKwote is in early access. Some features shown on our website are still being built and will be released over time. During early access, features may change, and we may contact you for feedback. We will tell you before any paid plan starts, and you will not be charged without choosing a plan.
3. Your account
- You must be at least 18 and use EasyKwote for business purposes.
- Give us accurate information and keep it up to date.
- Keep access to your email account secure, because we send sign-in codes and links there. Tell us straight away if you think someone else has accessed your account.
- You are responsible for the people you invite to your business, and for what they do in EasyKwote. You can remove them at any time.
4. Plans, trials and billing
- Plans. Our plans, prices and limits are shown on our website and in the app. Prices are in South African rand and include VAT where VAT applies.
- Free trial. New accounts get a free trial (14 days as standard, or 60 days under our founder offer). No card is needed to start. When the trial ends, choose a plan to keep creating documents. Your information stays available to view and export.
- Founder price lock. If you subscribe during or at the end of a founder trial, the price of the plan you choose will not increase for as long as your subscription stays active without a break. It does not apply if you cancel and later re-subscribe.
- Billing. Subscriptions are billed in advance, monthly or yearly, through our payment provider. Extra businesses are billed at the price shown at the time.
- Price changes. We may change our prices with at least 30 days' notice. The change applies from your next billing period after the notice, and the founder price lock still applies.
- Failed payments. If a payment fails, we will let you know and try again. If it remains unpaid, we may limit your account to read-only and export until it is paid.
- Plan limits. If you reach a plan's limit, for example the number of invoices a month, you can upgrade or wait for the next month. Quotes, existing documents and exports stay available.
5. Cancelling
You can cancel at any time in the app or by emailing us, with no cancellation fee. Your plan stays active until the end of the period you've paid for and is not renewed after that. We don't refund partly used periods, except where the law requires it, including any cooling-off rights you may have under the Electronic Communications and Transactions Act or the Consumer Protection Act.
6. Your data
- Your business information, clients, documents, photos and other content remain yours.
- You give us permission to store, process and send that content only as needed to provide the service to you, for example to show a quote to your client or deliver an email you send.
- For information about your clients and staff, you are the responsible party under POPIA and we act as your operator, as our privacy policy explains. You must have a lawful basis to capture and use that information.
- You can export your data at any time. After you close your account, it stays available for export for 90 days and is then deleted, unless the law requires us to keep it.
7. Your responsibilities
- Your documents. You are responsible for the content of your quotes, invoices and credit notes, including prices, descriptions and your banking details.
- Tax. EasyKwote helps you produce documents that meet SARS requirements, based on the VAT status and details you enter. You remain responsible for your VAT registration status, the accuracy of your details, your tax returns, and keeping your records for as long as the law requires.
- Your clients. Your agreements with your clients are between you and them. EasyKwote is not a party to them and does not guarantee that a client will accept a quote or pay an invoice.
- Banking details. Check your banking details carefully. Tell your clients how to confirm them, and contact us immediately if you suspect someone has changed them.
8. Payments from your clients
EasyKwote never receives or holds money paid by your clients. Card, Apple Pay, Google Pay and Instant EFT payments go through your own Yoco account under your agreement with Yoco, which sets the fees and payout terms. EFT payments go straight into your bank account. EasyKwote records that an invoice has been paid; we are not responsible for payments, refunds or chargebacks between you, your clients and Yoco.
9. WhatsApp and email
When you send quotes, invoices, reminders or other messages through EasyKwote, you are the sender. Only send messages to people who expect them from your business, honour opt-out requests, and follow POPIA and WhatsApp's business policies. We may limit or stop message sending if it is misused or puts our sending reputation at risk.
10. Acceptable use
You may not use EasyKwote to:
- break the law, or create false, misleading or fraudulent documents;
- send spam or unsolicited marketing;
- upload harmful code, or try to access other businesses' information or parts of the service you're not allowed to use;
- overload, test the security of, or reverse engineer the service without our written permission;
- resell the service without our agreement.
11. Availability and changes
We work hard to keep EasyKwote available and your information safe, including keeping your work on your device when you lose signal. We can't promise the service will always be uninterrupted or error-free, and we may need to pause it for maintenance. We may improve, change or remove features. If we remove a feature that is a key part of your paid plan, we will tell you in advance, and you may cancel.
12. Intellectual property
EasyKwote, including its software, design and brand, belongs to us or our licensors. We give you a limited, non-transferable right to use the service while your account is active. If you send us feedback or ideas, we may use them without owing you anything.
13. Liability
Nothing in these terms limits any rights you have that cannot be excluded by law, including under the Consumer Protection Act where it applies. To the extent the law allows:
- the service is provided as it is and as available;
- we are not liable for indirect or consequential losses, such as lost profits, lost business or lost data, or for losses caused by your clients, Yoco, other third-party services, or events outside our reasonable control;
- our total liability to you for any claim is limited to the subscription fees you paid us in the 12 months before the claim arose.
You agree to compensate us for claims made by third parties, including your clients, that result from your content, your documents or your breach of these terms.
14. Suspension and ending
We may suspend or close an account that seriously or repeatedly breaks these terms, puts other users or the service at risk, or is used unlawfully. Where it's reasonable, we will warn you first and give you a chance to fix the problem and export your data. You may stop using EasyKwote and close your account at any time.
We may update these terms. We will change the date at the top and, for significant changes, tell you by email or in the app at least 30 days before they apply. If you don't agree with a change, you may cancel before it takes effect.
15. Law and disputes
These terms are governed by the law of the Republic of South Africa. If you have a complaint, contact us first and we will try to resolve it quickly. If we can't resolve it, either of us may refer the dispute to a court in South Africa with jurisdiction.
